Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Conviction IC (“Conviction,” “we,” “us”) covering your use of the Conviction website and application (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a firm or other organization, you confirm that you have authority to accept these Terms for it, and “you” includes that organization.

1. Eligibility and accounts

You must be at least 18 years old and using the Service for professional or business purposes. You are responsible for the accuracy of your account information, for keeping your password confidential, and for all activity under your account. Tell us promptly at help@convictionic.com if you suspect unauthorized access.

2. Your content

“Your Content” means the documents, deal information, and other material you upload or enter, and the committee reports the Service generates from them. You keep all ownership rights in Your Content. You grant us a limited license to host, store, copy, process, and transmit Your Content only as needed to provide, secure, and support the Service for you. We do not sell Your Content or use it to train AI models.

You are responsible for having the right to upload Your Content. Diligence materials are often subject to non-disclosure agreements or other confidentiality obligations. Before uploading, make sure those obligations allow you to use a service like Conviction, including sending the material to the AI model provider you select (see section 4).

3. Sharing

If you invite someone to view a deal, they can see that deal's committee analysis, including citations and quoted excerpts from your documents, but not the documents themselves. You decide who to invite and are responsible for that decision. You can revoke an invite at any time, which also removes access for anyone who has already accepted it.

4. AI analysis and third-party model providers

Conviction uses large language models to analyze your materials. When you run a committee on a hosted model, the relevant deal information and extracted document text are sent to the model provider you select (currently OpenAI, Anthropic, or OpenRouter) for processing. Each provider handles that data under its own terms. Our Privacy Policy describes this in more detail.

Committee reports are not investment advice. They are AI-generated, can be incomplete or wrong, and may misread or misquote source material even when they include citations. Conviction is not a registered investment adviser, broker-dealer, or fiduciary. You alone are responsible for your investment decisions and should verify any material fact against the source documents and your own professional advisers.

5. Acceptable use

You agree not to:

  • upload material you have no right to use, or material that is unlawful, infringing, or malicious (including malware);
  • try to access another organization's workspace or data, or probe, scan, or test the Service's vulnerabilities without our written permission;
  • interfere with or disrupt the Service, get around usage limits, or access it by automated means other than those we provide;
  • reverse engineer the Service, or use it to build a competing product; or
  • resell or sublicense the Service, or use it for anyone other than you and your organization.

6. Plans, limits, and changes to the Service

Conviction is an early-stage product. Free accounts are subject to usage limits that we may change. We may add, change, or remove features, and we will give reasonable notice before any change that significantly reduces what you have been using. Paid plans, when offered, will come with their own pricing terms, which will be presented before you are charged.

7. Confidentiality and security

We treat Your Content as confidential. Our personnel do not access it except to provide support you request, to investigate security or abuse issues, or to comply with law. Our Security page describes our current controls and which ones are still in progress. We will not claim certifications we do not hold.

8. Termination and deletion

You may stop using the Service at any time and ask us to delete your account and Your Content by emailing help@convictionic.com. We may suspend or end your access if you materially breach these Terms, if required by law, or if continuing would create a security risk for us or other customers. Where reasonable, we will give notice first and a chance to export Your Content. Sections 2 (ownership), 4 (no investment advice), and 9 through 12 survive termination.

9. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any analysis it produces will be accurate or complete.

10. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or investment losses, arising out of these Terms or the Service. Our total liability for any claim arising out of these Terms or the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose or US $100.

11. Indemnity

You will defend and indemnify us against third-party claims arising from Your Content (including claims that uploading it breached a confidentiality obligation) or from your violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms. If we make material changes, we will notify you by email or in the Service at least 14 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.

14. General

These Terms and our Privacy Policy are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
